Eleanor Illoway has developed a practice which blends commercial litigation, corporate counseling and transactional work. Her litigation experience includes representing clients in the healthcare, biotechnology, banking, and various manufacturing industries, in suits involving securities fraud and ERISA class actions, shareholder derivative suits, antitrust claims, contract disputes, and takeover litigation, as well as other complex commercial matters. She was one of two lead lawyers in a trial of a securities class action case which resulted in a jury verdict for the defendants. In a number of instances, Ms. Illoway has achieved dismissals of cases before trial, including a voluntary dismissal of a securities class action suit.

On the transactional side, Ms. Illoway’s experience includes a marketing and distribution agreement for a biotechnology product, an asset purchase agreement in which a biotechnology company acquired rights to a product, and a merger of a biotechnology company into a pharmaceutical company. Through both her litigation and transactional work, Ms. Illoway has had considerable experience in corporate counseling, particularly with respect to disclosure matters for publicly held companies.

Ms. Illoway is a founding partner of Harkins Cunningham LLP. She is a graduate of the University of Pennsylvania (B.A. 1973; J.D. 1983), is a member of the Bars of Pennsylvania, the United States District Court for the Eastern District of Pennsylvania, the Court of Appeals for the Third Circuit and the United States Supreme Court.
